OF THE
ACTS OF 2024
WHEREAS the body corporate now known as Kings Regional Rehabilitation Centre was established as an unincorporated body by Order in Council 79-1537, dated November 27, 1979, and amended on February 1, 1988, and was continued as a body corporate by Chapter 16 of the Acts of 1990, the Kings Regional Rehabilitation Centre Act;
AND WHEREAS Kings Regional Rehabilitation Centre is desirous of being continued as a society under the Societies Act:
Short title
1 This Act may be cited as the Kings Regional Rehabilitation Centre Continuation Act. 2024, c. 9, s. 1.
Interpretation
2 In this Act,
"Corporation" means the body corporate continued by the Kings Regional Rehabilitation Centre Act;
"Registrar" means the Registrar of Joint Stock Companies;
"Society" means the Kings Regional Rehabilitation Centre, a society to be continued under the Societies Act. 2024, c. 9, s. 2.
Continuation of Corporation as Society
3 (1) The Corporation may, in accordance with the Societies Act, subscribe and transmit a memorandum of association, with the bylaws of the Society for the administration of the Society, and the proper fees to the Registrar, together with a list of the directors, stating their full names, addresses and occupations and the period for which they will so act, the address of the registered office of the Society and the place where its activities will be chiefly carried on.
(2) Where the Registrar is satisfied that
(a) the memorandum and bylaws transmitted pursuant to subsection (1) comply with the Societies Act;
(b) the objects of the corporation, as set out in the memorandum, are within the scope of the Societies Act and are sufficiently set forth; and
(c) the name set out in the memorandum under which the Corporation is to be continued is not identical with that of any subsisting company, society or association, incorporated or unincorporated, does not so nearly resemble such a name as to be calculated to deceive and is not objectionable for any other reason,
the Registrar shall register the memorandum and bylaws and issue a certificate in accordance with the Societies Act.
(3) Upon the Registrar issuing, in accordance with the Societies Act, a certificate of incorporation in respect of the Society or on April 1, 2025, whichever is later, the Corporation is continued as a society under the Societies Act under the name "Kings Regional Rehabilitation Centre" and the Society is deemed to have been incorporated pursuant to that Act.
(4) For greater certainty, the Society may, notwithstanding subsection (3), change its name in accordance with the Societies Act. 2024, c. 9, s. 3.
References to Corporation
4 Upon continuation of the Corporation as the Society, a reference in any enactment or any document, including any deed, lease, will, trust or indenture, to Kings Regional Rehabilitation Centre is, as regards any subsequent transaction, matter or thing, a reference to the Society. 2024, c. 9, s. 4.
Rights, duties, obligations and liabilities of Corporation not affected
5 No rights, duties, obligations or liabilities of the Corporation are in any way affected by the continuation of the Corporation as the Society, and those rights, duties, obligations and liabilities continue to be vested in and are binding upon the Society. 2024, c. 9, s. 5.
Kings Regional Rehabilitation Centre Act repealed
6 Upon
(a) continuation of the Corporation as the Society,[;] and
(b) written notice to the Chief Clerk of the House of Assembly respecting the continuation,
the Kings Regional Rehabilitation Centre Act is repealed. 2024, c. 9, s. 6.
